Terms of Service

Self-service terms governing access to and use of the WeDPO Compliance Scanner at scanner.wedpo.com.

Effective date: 23 May 2026

1. Introduction and acceptance

These Terms of Service (the "Terms") are a binding legal agreement between Entero Strategies Ltd., a company registered in Israel and trading under the brand "WeDPO" (the "Company", "we", "us" or "our"), and the person or entity that accesses or uses the Site or the Service (the "User", "you" or "your").

These Terms govern the WeDPO Compliance Scanner, a self-service online tool made available at scanner.wedpo.com (the "Site"). The Site and the Scanner are offered on a self-service basis. The Service is automated and based on both deterministic and AI-powered rules designed by expert legal and data protection officer services.

By accessing the Site, creating an account, submitting a URL for scanning, purchasing a Subscription or Credits, or otherwise using the Service, you acknowledge that you have read, understood and agreed to be bound by these Terms and the Privacy Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not access or use the Site or the Service.

If you accept these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization, and references to you include that organization.

2. Definitions

Capitalized terms have the meanings given below or where first defined in these Terms.

(a) "Account" means the registered account through which you access and manage the Service, if any.

(b) "Applicable Law" means any law or regulation applicable to your use of the Service, including the EU General Data Protection Regulation (Regulation 2016/679) (the "EU GDPR"), the UK GDPR and the Data Protection Act 2018, and the Israeli Privacy Protection Law, 5741-1981, as amended (the "Israeli PPL").

(c) "Credits" means prepaid units that may be purchased and consumed to run Scans, as described in section 8.

(e) "Report" or "Scan Output" means the automated, indicative report and findings produced by the Scanner in respect of a submitted URL.

(f) "Scan" means a single automated assessment of a submitted URL performed by the Scanner.

(g) "Scanner" means the WeDPO Compliance Scanner tool made available through the Site.

(h) "Service" means the Site, the Scanner, the Reports and all related features and content made available by the Company on a self-service basis.

(i) "Subscription" means a recurring plan that provides access to the Service and an allowance of Scans or features, as described in section 8.

3. The Service

The Scanner is an automated tool that performs a multi-framework privacy and data protection readiness check on a website URL that you submit. The Scanner produces an indicative Report addressing publicly observable signals such as cookie and tracker behaviour, the presence and quality of published policies, data entry points, form and call-to-action behaviour, and other data protection readiness indicators.

The Service is automated and self-service. We may add, modify or remove features of the Scanner at our discretion. We may provide technical support relating to the operation of the Site, or other related services.

4. Eligibility and accounts

The Service is intended for users aged 18 or over who use it in connection with a website or organization. By using the Service, you confirm that you meet this requirement.

You are responsible for the accuracy of the information you provide when registering, for maintaining the confidentiality of your Account credentials, and for all activity that occurs under your Account or session. You must notify us promptly at support@wedpo.com of any suspected unauthorized use of your Account.

5. Acceptable use

When accessing or using the Service, you must not:

(a) use the Service in any manner that breaches Applicable Law or infringes the rights of any third party;

(b) attempt to gain unauthorized access to the Service, any Account, or any system or network connected to the Service;

(c) probe, scan or test the vulnerability of any system or network operated by us, or breach or circumvent any security, authentication, rate-limiting or access-control measure;

(d) perform automated or bulk data collection, scraping, mirroring or indexing of the Service beyond what we expressly permit in writing;

(e) upload or transmit any material containing malicious code, or otherwise interfere with or impose an unreasonable load on the Service or our infrastructure;

(f) copy, reproduce, resell, rent, sub-license, distribute or otherwise make the Service or any Report available to a third party, except as permitted under these Terms;

(g) reverse engineer, decompile or attempt to derive the source code, algorithms, models, scoring rules or methodologies of the Scanner, except to the extent this restriction cannot be excluded under Applicable Law;

(h) use the Service, or any Report, to develop, train or improve any competing product, dataset or model;

(i) remove, obscure or alter any proprietary notice or branding displayed by the Service;

(j) create derivative works of, or modify, adapt or build any module, wrapper or extension that depends on or interoperates with, the Service or the Company Materials; or

(k) use the Service or the Reports to provide a managed, white-labelled or advisory service to a third party, except where we expressly authorise this in writing.

6. Permitted use of the Scanner

You may submit only URLs that you own, that you operate, or that you are expressly authorized to scan by the operator of the target website. You must not use the Scanner to assess third-party websites without authorization, to target individuals rather than organizations, or in any manner that breaches Applicable Law.

A breach of this section 6 is a material breach of these Terms and may result in immediate suspension or termination of your access under section 15.

7. Scanner output: no legal advice

The Report is an automated, indicative and informational assessment. It is not legal advice, is not a legal opinion, and does not confirm compliance with any law, regulation, code of practice or standard. The Report is not a substitute for review by a qualified professional familiar with your specific circumstances.

Because the Scanner relies on automated detection of publicly observable signals at the moment of the Scan, the Report:

(a) may produce false positives, false negatives or incomplete findings;

(b) may be unable to assess content that is gated, localized, region-specific, behind authentication, rendered by client-side code that the Scanner cannot execute, or otherwise not visible at runtime;

(c) may be affected by caching, content delivery networks, bot detection, rate limits, or content that varies by geography or consent state; and

(d) does not evaluate internal policies, internal records, back-end systems, contractual arrangements or any matter that cannot be observed from the public surface of a website.

The Service is designed to support your assessment of data protection readiness, but we do not guarantee any specific compliance outcome, regulatory finding or absence of enforcement action. Any decision taken in reliance on a Report is made at your own discretion and risk.

8. Subscriptions, Credits, fees and payment

8.1 Merchant of record

When you purchase a Subscription or Credits, your payment is processed by our third party payment processor, as will be indicated in the check-out page, so your purchase is also subject to the payment processor’s terms and privacy notice presented at checkout. The payment processor is responsible for billing, payment processing, invoicing, the collection and remittance of applicable sales tax or value added tax (VAT), and the first-line handling of payment queries, refunds and chargebacks.

8.2 Subscriptions

Subscriptions are offered on a monthly or annual basis at the prices displayed at checkout. Annual Subscriptions are offered at a discount of ten per cent (10%) on the equivalent monthly rate. Subscriptions renew automatically for successive billing periods at the then-current price unless you cancel before the renewal date. You may cancel a Subscription at any time, and cancellation takes effect at the end of the current billing period.

8.3 Credits (coming soon)

Credits may be purchased as one-off bundles and are consumed when you run a Scan. Unless stated otherwise at checkout, Credits are valid for twelve (12) months from the date of purchase, after which unused Credits expire. Credits have no cash value and are not transferable or redeemable.

8.4 Prices and taxes

Prices are displayed at checkout and may be exclusive of VAT or other applicable taxes, which the third party payment processor will add where required. We may change prices for the Service at any time. Price changes apply to new purchases and to Subscription renewals occurring after the change takes effect.

9. Cancellation and refunds

You may cancel a Subscription at any time through your Account. Refunds and cancellations are governed by the Refund Policy, which forms part of these Terms.

10. Intellectual property and license

The Site, the Scanner, the Reports and all related content, software, models, scoring rules, methodologies and materials (the "Company Materials") are and remain the property of the Company or its licensors and are protected by intellectual property rights. We grant you a limited, revocable, non-exclusive, non-transferable and non-sub-licensable licence to access and use the Scanner through your account on a self-service basis, and to use the Reports for your own internal business purposes, conditional on your compliance with these Terms and on payment of any applicable fees. The Reports are licensed, not sold, to you. You may share a Report internally within your organisation, but you must not publish or distribute it externally, or present it as the work of any party other than the Company, without our prior written consent. All rights not expressly granted are reserved to the Company. "WeDPO", "Entero" and "Entero Strategies" and associated logos are trademarks of the Company. No right to use any such mark is granted except as expressly set out in writing.

We may use any feedback, suggestions or ideas you provide about the Service on a royalty-free, perpetual, irrevocable and worldwide basis for any purpose, including to improve the Service, without any obligation to you.

11. User-submitted content

You retain all rights in the URLs and other content you submit to the Service ("User-Submitted Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, process and display the User-Submitted Content to the extent necessary to provide the Service and to comply with Applicable Law. You represent and warrant that you have all rights and authorizations necessary to submit the User-Submitted Content and that doing so does not infringe the rights of any third party. You must not submit personal data of individuals or confidential business information through the Scanner.

12. Data protection and privacy

We process personal data relating to your use of the Service as an independent controller, as described in the Privacy Policy or applicable Data Processing Addendum (DPA). Payment data is processed by our third party payment processor, as described in section 8 and in the Privacy Policy. Our forms may use Google reCAPTCHA to protect against automated abuse; use of those forms is subject to Google's privacy policy and terms of service.

13. Third-party services

The Service may interact with or link to third-party services, including the websites you choose to scan and the providers that support the Service. We are not responsible for the availability, accuracy, security or practices of any third party. Your use of any third-party service is governed by that third party's own terms. Additionally, the Service may embed and/or include third-party artificial intelligence providers to generate or summarise certain Scanner findings. Personal data submitted to the Service is shared with these providers only to the extent necessary to operate the relevant feature, and we do not permit them to use it to train their models except where you are separately notified.

14. Availability and changes to the Service

The Service is provided on an “as-is” and "as available" basis. We may modify, suspend, discontinue or restrict access to the Service or any part of it, temporarily or permanently, with or without notice, for maintenance, security, legal, operational or commercial reasons.

15. Term, suspension and termination

These Terms apply from the moment you first access the Service and continue until terminated. You may stop using the Service and close your Account at any time. We may suspend or terminate your access to the Service with immediate effect where:

(a) you commit a material breach of these Terms and, where the breach is capable of remedy, fail to remedy it within seven (7) days of notice;

(b) we reasonably suspect a security threat, fraud or misuse of the Service;

(c) payment due is not made; or

(d) Applicable Law requires suspension or termination.

On termination, your license to use the Service ends, any outstanding amounts remain payable, and the provisions that by their nature should survive termination will survive, including sections 2, 5, 7, 10, 16, 17 and 18.

16. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care. Except for that warranty, and to the fullest extent permitted by Applicable Law, the Service and the Reports are provided "as is" and "as available", and we disclaim all other warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, uninterrupted operation and non-infringement. We do not warrant that the Service will be error-free, secure against all threats, or that any defect will be corrected, nor do we warrant any specific regulatory, audit or compliance outcome.

The Service is currently offered on a beta basis. We are still testing what works best for our customers, and we may change, adjust or remove parts of the Service at any time, including the user flow, the features, the scope of a Scan and the format of a Report. Beta features are provided on an "as is" and "as available" basis, may contain defects or produce incomplete results, and may be modified or withdrawn without notice. We will use reasonable efforts to let you know about significant changes, but your use of the Service during the beta period is at your discretion.

17. Limitation of liability

To the fullest extent permitted by Applicable Law, we are not liable to you for any loss of profits, revenue, goodwill or anticipated savings, or for any indirect, special, incidental or consequential loss, whether arising in contract, tort or otherwise.

Subject to the following paragraph, our aggregate liability arising under or in connection with these Terms shall not exceed the total fees paid by you for the Service in the two (2) months immediately preceding the event giving rise to the liability.

18. Indemnification

You shall indemnify and hold harmless the Company and its officers, directors, employees and contractors from and against any third-party claims, liabilities, damages, losses and reasonable expenses arising out of: (a) your breach of these Terms; (b) your breach of Applicable Law; or (c) any allegation that your User-Submitted Content or your use of the Service infringes the rights of a third party.

19. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, cyber-attacks not caused by our failure to maintain reasonable controls, and the failure of telecommunications or cloud infrastructure operated by a third party.

20. Changes to these Terms

We may amend these Terms from time to time. Where changes are material, we will provide reasonable prior notice through the Site or by email. Your continued use of the Service after the effective date of the changes constitutes acceptance of the amended Terms. If you do not accept a material change, you may stop using the Service and cancel any Subscription.

21. Governing law and jurisdiction

These Terms, their subject matter and any non-contractual obligations arising out of or in connection with them are governed by the laws of Israel. The courts of Tel Aviv-Jaffa, Israel shall have exclusive jurisdiction, except that nothing in this section deprives you of the protection of any mandatory consumer law of your country of residence.

22. General

Unless indicated or incorporated otherwise, these Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and us in relation to the Service. If any provision is held invalid, the remaining provisions continue in force. A failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition or sale of assets. These Terms may be accepted electronically, including by clicking to accept or by continued use of the Service.
